1. Agreement

These Terms of Service (“Terms”) form a legally binding agreement between you and Kovacs Software Solutions (“we,” “us,” or “our”) governing your access to and use of AdPilot MCP and related websites, applications, and services (collectively, the “Service”).

By accessing or using the Service, creating an account, joining a waitlist, connecting third-party accounts, or authorizing an AI client, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Who we are

The Service is operated by Kovacs Software Solutions. AdPilot MCP is a hosted control panel and remote Model Context Protocol (MCP) server that connects Apple Ads and RevenueCat data to AI assistants you choose (such as ChatGPT, Claude, Cursor, or Codex), so you can analyze performance and manage advertising with enforced limits and detailed audit history.

Questions: support@kovacssoftware.com.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. You are responsible for your account credentials and for all activity under your account, including activity by AI clients you authorize. Provide accurate registration information and keep it updated.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. The Service

The Service typically includes:

  • A web control panel for workspaces, apps, strategy profiles, Apple Ads and RevenueCat connections, operation limits, change history, skills, and MCP client authorizations
  • A remote MCP endpoint that exposes tools and resources to AI clients you authorize
  • Syncing and storage of advertising structure and performance data from connected providers
  • Optional in-app assistance features that may use third-party language models

The Service is not a full replacement for Apple Ads or RevenueCat dashboards. Public documentation, marketing pages, and educational materials are general information only.

We may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee uninterrupted or error-free operation.

5. Not professional advice

The Service provides informational tools and automation aids only. It is not an advertising agency, media buyer, financial advisor, or regulated professional service. It does not provide marketing, financial, legal, or investment advice.

Outputs, analyses, operations, skill suggestions, and other automated recommendations are general informational tools. They are not a substitute for your own judgment or advice from a qualified professional. You remain solely responsible for advertising spend, campaign changes, and business decisions.

6. Artificial intelligence and automation

Parts of the Service involve artificial intelligence and automated systems. Your authorized AI clients may request workspace context and invoke tools through MCP. Optional in-app strategy assist and scheduled email reports may send relevant workspace context to third-party model providers. Scheduled reports are recommendation-only and never change Apple Ads. Direct MCP operations remain separate user-requested actions subject to the applicable permissions, limits, and audit rules. These systems are probabilistic and may produce incomplete, inaccurate, outdated, biased, or misleading output (“Output”).

You understand and agree that:

  • Output may misread metrics, invent details (sometimes called “hallucinations”), recommend or apply harmful bids, budgets, negatives, pauses, or rollbacks, or overlook important constraints.
  • You must not rely on Output as a sole source of truth or as a substitute for human review of material advertising or financial decisions.
  • You are solely responsible for configuring limits, supervising connected AI clients, enabling scheduled reports, reviewing audit records and emailed reports, and evaluating Output before relying on it.
  • Subscription and workspace limits, correctness rules, protected terms, audit records, and rollback features reduce risk but do not eliminate it, and they may fail or be incomplete.
  • We do not warrant that Output, synced data, Automation runs, or executed actions are complete, correct, current, or fit for any particular purpose.

7. Your content and connected data

You retain ownership of content and data you provide or connect (“User Content”), including app and strategy information, Apple Ads credentials and synced campaign data, RevenueCat credentials and metrics, MCP client configurations, and related history.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use User Content solely as needed to operate, secure, and provide the Service (including syncing providers, generating Output, executing requested operations within configured limits, and maintaining audit records).

We do not train our own machine-learning models on your advertising account data, API credentials, or other User Content. We do not sell User Content, and we do not use User Content to advertise to you or to third parties.

You represent that you have all rights and permissions needed to connect accounts, provide credentials, and grant the license above, and that your User Content and use of the Service do not violate law, Apple’s or RevenueCat’s terms, or third-party rights.

8. Apple Ads authorization and customer obligations

When you connect Apple Ads, you appoint and authorize us as a technical service provider to access and use the connected Apple Ads account solely to provide the Service. This includes authenticating to the Apple Ads Campaign Management API, synchronizing campaign structure and reporting data, generating analyses you request, and executing operations you request and are permitted to perform. This authorization is limited by the Apple Ads role and campaign-group scope assigned to the connected API user, your workspace permissions, your plan entitlements, and the limits enforced by the Service. We do not obtain broader Apple Ads access merely because you connect an account.

The Service supports customer-managed Apple Ads API credentials. You or your organization creates and controls the API user and client, registers the public signing key generated by AdPilot, and supplies the Client, Team, and Key IDs. The Service does not currently offer Apple's separate service-provider Sign in with Apple authorization flow. Our support for a technical connection does not represent Apple approval of AdPilot or the integration.

You represent and warrant that:

  • You own or are lawfully authorized to access and manage each connected Apple Ads account and to appoint us to provide the Service for it.
  • The individual or organization responsible for the connected account has accepted and will comply with the applicable Apple Advertising Services Terms, Apple Ads policies, and Campaign Management API requirements.
  • Your instructions to us, including instructions delivered through an authorized AI client, will not exceed your lawful authority or the authority granted to the connected API user.
  • You will promptly disconnect the integration or revoke the API user's Apple-side access when your authority ends.

The applicable Apple terms remain an agreement between you and Apple and are not replaced by these Terms. You remain responsible for your campaigns, targeting, advertising spend, connected data, and compliance with Apple’s requirements. AdPilot is not Apple, is not endorsed by Apple, and does not grant you any right to use Apple trademarks or imply an Apple partnership or approval.

AdPilot does not request or receive your Apple Account password, two-factor authentication code, or recovery credential. We generate or receive Apple Ads API signing credentials as part of the connection process, store private signing keys encrypted, and use them to obtain scoped API access tokens. We do not intentionally expose Apple Ads private signing keys, client secrets, or access tokens through MCP tools or to the AI client you authorize.

Apple-provided campaign reports and performance metrics remain Apple reporting data. Any calculation, estimate, recommendation, profitability analysis, RevenueCat comparison, or AI-generated Output provided by AdPilot is supplemental and must not be represented as an official Apple measurement or statement.

9. Customer-selected AI clients

When you connect or authorize an AI client through MCP, you instruct and authorize AdPilot to transmit the workspace context and tool results necessary to fulfill requests made through that client. Depending on your request, those results may include Apple Ads campaign names, settings, bids, budgets, keywords, search terms, spend, impressions, taps, installs, and other reporting metrics, as well as AdPilot analyses and RevenueCat data.

The AI client and its provider may process, retain, or use that information under their own terms, privacy policy, account type, and data-control settings. You are responsible for selecting an appropriate AI client, configuring its privacy and retention controls, authorizing only clients you trust, and ensuring that sending connected data to that client is permitted by your agreements and applicable law. You can revoke an AI client from the Service, but revocation does not delete information already received or retained by that client or its provider.

We do not use one customer’s connected data to answer another customer’s requests, and an authorized AI client receives data only within the workspace and permissions associated with its authorization. You must not use an AI client or the Service to disclose connected data to a person who is not authorized to receive it.

10. Third-party services

To provide the Service we rely on third parties, including Apple (Apple Ads APIs), RevenueCat, hosting and infrastructure providers, email delivery, optional language-model providers for in-app assist features, and AI clients you choose to authorize via MCP. Those providers and clients process data under their own terms and privacy policies. We are not responsible for third-party services beyond our reasonable control, including actions taken by AI clients you authorize.

11. Plans, entitlements, and billing

Access to features may depend on plan entitlements associated with your workspace (for example Free, Solo, or Studio), including limits on apps and whether write actions are available. Plan names, limits, and pricing may change.

If paid plans or checkout become available, purchases will be processed by a designated payment provider under that provider’s terms. Except where required by law or expressly stated by us:

  • Fees are generally non-refundable once entitlements have been granted
  • You will not seek a refund solely because you are dissatisfied with AI-generated insights, operations, or campaign outcomes
  • We are not responsible for payment-provider fees, taxes, or checkout errors outside our control

Promotional or beta access may be offered or withdrawn at our discretion.

12. Acceptable use

You may not:

  • Use the Service for any unlawful, harmful, or abusive purpose
  • Connect accounts or credentials you are not authorized to use
  • Attempt to reverse engineer, scrape, overload, or disrupt the Service, or bypass rate limits, authentication, or enforced operation limits
  • Abuse Apple Ads, RevenueCat, or other APIs in violation of their terms
  • Misrepresent Output as human-authored professional advice or as our endorsement of any campaign or spend decision
  • Resell, sublicense, or provide the Service to third parties except as we expressly allow

13. Intellectual property

We and our licensors own the Service, including software, branding, and documentation. These Terms do not transfer any ownership of our intellectual property to you. Feedback you provide may be used by us without restriction or compensation.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

We do not warrant that the Service or Output will meet your requirements, be uninterrupted or error-free, or that defects will be corrected. We do not warrant that actions executed through Apple Ads or other providers will achieve any particular performance, ROAS, or business result.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOVACS SOFTWARE SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ADVERTISING SPEND, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) 50 U.S. DOLLARS (US $50).

These limitations are a fundamental basis of the bargain between you and us and apply regardless of the legal theory (contract, tort, or otherwise), even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

16. Indemnification

You will defend, indemnify, and hold harmless Kovacs Software Solutions and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content or connected accounts; (b) your use of the Service or reliance on Output; (c) advertising changes or spend resulting from connected tools or operations; (d) your violation of these Terms or applicable law; or (e) your infringement of any third-party right.

17. Suspension, termination, and deletion

You may stop using the Service at any time and may delete your account where the Service provides that capability. We may suspend or terminate access immediately if we believe you violated these Terms, create risk or legal exposure for us, or if required by law. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations, indemnity, and governing law) will survive.

18. Changes to these Terms

We may update these Terms from time to time. The “Effective date” above will change when we do. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

19. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles, except that nothing in these Terms limits any non-waivable consumer protections that apply to you under the mandatory laws of your country or state of residence.

Subject to those mandatory protections, exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Service will lie in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction there.
